Acceptance of Terms

The Services are available to you subject to your acceptance of these Terms, which include all other operating rules and policies published by ShopXray. Occasionally, specific services may be subject to additional terms, which are incorporated here by reference. These Terms are binding and any use of our Services constitutes acceptance of these Terms.

ShopXray reserves the right to modify or discontinue offering the Services to any person or entity at our discretion, and to change eligibility criteria at any time. These Terms do not apply where prohibited by law, and in such cases, you are not authorized to access or use the Services.

Changes to Terms and Service Availability

ShopXray reserves the right, at its sole discretion, to modify or replace any of these Terms, or change, suspend, or discontinue the Services (including without limitation, the availability of any feature, database, or content) at any time. Changes will be made by posting a notice on the ShopXray website or directly communicating them to you via email. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

It is your responsibility to regularly check the Terms of Service for changes. Your continued use of the Services after any modifications indicates your acceptance of the new Terms.

User Eligibility and Responsibilities

You must be at least 16 years old, or the minimum age of digital consent in your jurisdiction, to use the Services. Users under this age must have the Agreement approved by a parent or guardian who agrees to be bound by these Terms and is responsible for all activities of the minor.

Rules and Conduct

By using ShopXray, you agree to use the Services solely for lawful and permitted purposes. You are prohibited from using the Services in any manner that:

• Violates any applicable laws, rules, or regulations.
• Infringes on the intellectual property or other rights of any person or entity.
• Is threatening, abusive, defamatory, deceptive, invasive of privacy, or objectionable.
• Interferes with, disrupts, or imposes an unreasonable load on the Services or infrastructure.
• Involves reselling, redistributing, or sublicensing access to the Services without written consent.
• Attempts to reverse engineer, decompile, or extract source code from the Services.
• Uses automated tools, bots, or scrapers beyond authorized API endpoints without explicit permission.

You are responsible for any content you upload or actions taken through your account. ShopXray reserves the right to monitor usage and take action against violations, including account suspension or termination.

Public Data and Accuracy

ShopXray analyzes publicly accessible data from Shopify storefronts. This includes product catalogs, pricing, inventory levels, themes, installed apps, and store metadata available through public APIs and storefront pages. ShopXray does not access any private, admin-only, or password-protected store data.

Sales data, revenue estimates, and inventory metrics are inferred from publicly observable changes and should be treated as estimates, not verified figures. You are solely responsible for how you use data obtained through ShopXray and agree to do so in compliance with all applicable laws. ShopXray is not affiliated with or endorsed by Shopify Inc.

Intellectual Property Rights

All logos, trademarks, and content are owned or licensed by ShopXray or their respective owners. You receive a limited, non-exclusive license to use the Services consistent with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services or included software.

Links to Other Websites

The Services may contain links to third-party websites (including Shopify stores and app store listings) which ShopXray does not control. ShopXray is not responsible for their content, privacy policies, or practices. You access third-party sites at your own risk.

Fees and Payments

ShopXray offers free and paid subscription plans billed monthly or yearly through Lemon Squeezy, our third-party payment processor. By subscribing, you agree to immediate access without a withdrawal period. You may cancel anytime, but refunds for prior payments are not provided. Prices and plan limits may change, and delinquent payments may result in suspension of service. We do not store your payment card details on our servers.

Termination

ShopXray may terminate your access for violations of these Terms. Termination ends your rights to use the Services, but some legal provisions survive termination. You may also terminate your account at any time through your account settings or by contacting us.

Indemnification

You agree to indemnify and hold ShopXray harmless from any claims, losses, or damages arising from your use or misuse of the Services, including any business decisions made based on data obtained through the platform.

Limitation of Liability and Disclaimer

Services are provided "as is" and "as available" without warranties of any kind. ShopXray is not liable for indirect, incidental, or consequential damages, and total liability is capped at the greater of $100 or your payments in the last 12 months.

Some limitations may not apply in certain jurisdictions.

General Provisions

These Terms constitute the entire agreement between you and ShopXray. If any provision is found invalid or unenforceable, the remaining provisions continue in full force. Severability, assignment, and notice rules apply as described herein.
